We are seeking a mid-level associate to join our growing technology and outsourcing practice. This position is available in the firm’s offices located in New York, San Francisco, Washington, D.C., Richmond, Los Angeles, Chicago or Charlotte.
Salary: $250,000 - $345,000

- The ideal candidate will have a minimum of 3-5 years of experience in technology transactions, with a focus on intellectual property (IP) licensing.
- Experience handling business process outsourcing deals, negotiating complex agreements including SaaS agreements, global purchase agreements, distribution agreements, professional services agreements and marketing agreements.
- You will work with leading tech, financial, telecommunications and life sciences clients, supporting a highly regarded team within the firm’s corporate group.
- Structure, draft and negotiate complex technology agreements, including intellectual property licensing, SaaS, hardware and maintenance agreements, distribution agreements, professional services agreements and marketing agreements while also complying with legal requirements and client policies.
- Advise clients on licensing, distribution agreements, and issues related to AI, privacy and information security.
- Collaborate with the corporate and IP groups, providing expertise in technology aspects of mergers and acquisitions.
- Provide strategic counsel on emerging trends and issues in the tech, financial, telecommunications, healthcare and life sciences sectors and provide tailored legal guidance and subject matter expertise on new and existing regulatory requirements.
- Conduct thorough legal analysis and risk assessments to identify potential legal issues and provide proactive recommendations and actionable guidance.
- Contribute to the continuous improvement of standard agreements and playbooks for clients.
- At least 3 years of experience (in-house preferred) in technology transactions, IP licensing, and technology and business process outsourcing agreements.
- Experience with M&A and corporate transactions, particularly in the technology sector.
- Strong academic credentials with excellent oral, written, and interpersonal communication skills.
- Ability to manage multiple complex legal matters while working collaboratively within a team.
- New York bar is required.
